4. Fees & Payment
Service fees are as indicated on this website and in the Engagement Letter. Fees are stated exclusive of Value Added Tax (VAT) unless otherwise specified. VAT at the applicable rate will be added where required by Thai tax law.
Payment terms are detailed in each Engagement Letter. In general:
- An advance payment or retainer may be required before commencement of work
- Invoices are issued in Thai Baht and are payable within 14 calendar days of issue unless otherwise agreed
- Late payment may result in suspension of work until the outstanding balance is settled
- Expenses reasonably incurred in connection with an engagement (such as filing fees or travel) are charged at cost and itemised separately
Where work is terminated prior to completion, fees are due for work performed up to the date of termination, calculated on a pro-rata or time-spent basis as set out in the Engagement Letter.
5. Client Obligations
To enable us to deliver services effectively and in accordance with applicable law, you agree to:
- Provide complete, accurate, and timely information and documentation as reasonably requested
- Promptly inform us of any changes in circumstances that may affect the scope or nature of the engagement
- Review and respond to draft documents within agreed timelines
- Not engage other advisors for materially overlapping work without first notifying us
- Comply with all applicable Thai laws and regulations in respect of your tax obligations
We cannot accept responsibility for delays, errors, or adverse outcomes arising from incomplete or inaccurate information provided by you.
6. Confidentiality
We treat all information received from clients as strictly confidential. We will not disclose client information to third parties except:
- With your prior written consent
- Where required by Thai law, court order, or regulatory authority
- To professional consultants engaged under confidentiality obligations in connection with your matter
- Where the information has entered the public domain through no breach of our obligations
Our confidentiality obligations survive the conclusion of an engagement. Clients are similarly requested to treat as confidential any proprietary methodologies, work product templates, or internal processes of Chai Compass disclosed during an engagement.
7. Intellectual Property
All intellectual property in this website, including but not limited to text, design, graphics, and structure, is owned by or licensed to Chai Compass. No part of this website may be reproduced, modified, or distributed without prior written consent.
Work product delivered to a client under an Engagement Letter (such as position papers, filed documents, and written analyses) is provided for the client's use in connection with the specific matter for which it was prepared. General methodologies, templates, and frameworks used in producing such work product remain the intellectual property of Chai Compass.
8. Limitation of Liability
To the maximum extent permitted by Thai law, Chai Compass's aggregate liability for any claim arising out of or in connection with the services provided, whether in contract, tort, or otherwise, shall not exceed the total fees paid by you for the specific engagement giving rise to the claim.
We shall not be liable for:
- Indirect, consequential, incidental, or punitive losses or damages
- Loss of profit, business opportunity, or anticipated savings
- Outcomes arising from changes in tax law or Revenue Department policy after the date of our advice
- Reliance on our advice for purposes or by persons beyond the scope of the specific engagement
- Third-party system failures outside our reasonable control
Nothing in these Terms limits liability for fraud, gross negligence, or any other matter that cannot be excluded under applicable Thai law.

- Continuing the engagement would place us in breach of our obligations to any regulatory body
11. Governing Law & Jurisdiction
These Terms & Conditions and any dispute arising in connection with them or our services shall be governed by and construed in accordance with the laws of Thailand.
Any dispute that cannot be resolved by mutual agreement shall be submitted to the exclusive jurisdiction of the courts of Bangkok, Thailand, unless an alternative dispute resolution mechanism is agreed in writing between the parties.

We may revise these Terms & Conditions from time to time to reflect changes in our services, legal requirements, or business practices.
